The legal relationship is formed between the professional and Worky rather than directly with the client receiving the services.

Contractors are generally responsible for managing their own time off. Unlike full-time employees, contractors do not receive paid time off from Worky. Your salary will be transferred monthly through our selected platform, which offers various methods for withdrawing your funds, including ACH, SWIFT, Wise, and many other options. The Talent Agreement is a legal document that outlines the terms and conditions under which you, as a talent or consultant, will collaborate with Worky LLC and its clients. It defines your responsibilities, the services you will provide, payment terms, confidentiality, and intellectual property. However, signing the Talent Agreement does not mean you are hired by Worky or any specific client. It simply establishes the framework for how you may be engaged for future projects. Any actual work engagements will be governed by separate agreements or Statements of Work (SOW) between you and the client.
By signing the Talent Agreement, you agree to provide services to Worky LLC and its clients as specified in future Statements of Work. You commit to maintaining confidentiality, assigning relevant intellectual property rights to the company, and adhering to the terms, including payment and termination.
The Liquidated Damages clause means that if you breach specific terms of the Agreement, such as disclosing confidential information, violating intellectual property rights, or soliciting employees or clients of the Company for your benefit, you would be required to compensate the Company within 30 days. The amount is a predetermined estimate of the damages the Company would incur from such breaches. This clause is intended to simplify resolving these issues without lengthy legal processes. Exhibit A is the Statement of Work (SOW). It details the specific project you will work on, including the work description, compensation, and other relevant details. Exhibit A is attached to the Talent Agreement but will be filled out and signed for each project you are assigned. The fields in Exhibit A are intentionally left blank until you are assigned to a specific project, at which point the details will be completed.
The Talent Agreement itself does not guarantee payment. You will be paid when you have an active position with a client, according to the terms specified in the Statement of Work (SOW) for each project. The payment terms for each specific project are generally defined in Exhibit A. The Talent Agreement provides the overarching terms, but the exact rate and payment schedule for your services will be detailed in the Statement of Work (SOW) for each engagement.
The Talent Agreement is mandatory in order to be matched with our clients. If you choose not to sign the Talent Agreement, you will not be introduced to clients or able to start an engagement.
